1. Definitions
"Provider" refers to UNIQUIPO, a sole proprietorship registered in Poland.
"Client" refers to the legal entity or individual subscribing to the Service.
"Service" refers to the UNIQUIPO API providing team kit visual assets.
"Brand" refers to the specific brand, platform, or product explicitly declared by the Client during purchase.
"Visuals/Kits" refers to graphical representations of sports teams including kits, colors, and associated color codes for numbering.
2. Nature of Service
UNIQUIPO is a technological solution that provides programmatically generated visual representations of sports team uniforms. The Service utilizes:
- In-house developed algorithms and templates
- Publicly accessible color and design data
- Original graphical assets created by UNIQUIPO
The Provider does not copy, reproduce, or redistribute any trademarked or copyrighted materials from third parties.
3. License Grant & Brand Restriction
Upon subscription, the Client receives a non-exclusive, non-transferable license to use the Visuals solely within the declared Brand(s).
The Client acknowledges and confirms that:
- Visuals may only be used within the Brand(s) submitted during purchase
- Usage outside declared Brands constitutes a material breach
- The Client bears full responsibility for accurate Brand declaration
4. Prohibited Uses
The Client shall NOT:
- Use Visuals outside the declared Brand(s)
- Use Visuals for unlicensed leagues or competitions
- Continue using Visuals after license expiration
- Resell, sublicense, or distribute Visuals to third parties
- Archive or replicate Visuals in independent systems
- Reverse-engineer the API or generation algorithms
5. Penalties for Unauthorized Use
In accordance with Article 471 of the Polish Civil Code (Kodeks Cywilny), any unauthorized use shall result in the following contractual penalties:
- Unauthorized Brand usage: €5,000 per Brand per occurrence
- Resale or sublicensing: €10,000 per occurrence + 200% of revenue generated
- Post-expiration usage: €500 per day of continued use
- Unauthorized distribution: €2,500 per instance distributed
These penalties are cumulative and do not limit the Provider's right to seek additional damages under applicable law.
6. Limitation of Liability
In accordance with Polish law and EU Directive 2019/770:
- The Provider's total liability shall not exceed 50% of fees paid in the 12 months preceding the claim
- The Provider is not liable for any content, context, or placement where Visuals are displayed by the Client
- The Provider is not liable for indirect, consequential, or punitive damages
- The Client assumes full responsibility for compliance with applicable sports organization regulations
7. API & Identifiers
UNIQUIPO maintains its own identifier system for teams, leagues, sports, and players. These identifiers are internal to the Service and remain the intellectual property of UNIQUIPO.
To simplify integration, the Service may support mappings to third-party or Client-preferred identification systems (e.g. team IDs, league codes, sport codes). Any such mappings are provided for convenience only and do not imply partnership or endorsement with any third party.
8. Cookies & Data
The Provider uses cookies in accordance with EU GDPR and ePrivacy Directive. Cookie usage may vary based on:
- Essential functionality requirements
- Analytics and performance monitoring
- Partner integrations (where applicable)
The Client will be notified of minimum legally required cookie disclosures. Full cookie policy is available upon request.
9. Governing Law
These Terms are governed by the laws of the Republic of Poland, specifically:
- Polish Civil Code (Kodeks Cywilny)
- Act on Provision of Electronic Services
- EU Digital Services Act where applicable
Any disputes shall be resolved by the courts of Warsaw, Poland.
